Holding Redlich advises Q & M Dental Group on proposed acquisition of Experteeth Dental Group

National law firm Holding Redlich has advised Q & M Dental Group (Singapore) Limited, a company listed on the Mainboard of the Singapore Exchange Securities Trading Limited, on its proposed A$119.64 million acquisition of Experteeth Dental Group, which, if completed, would establish Q & M’s entry into the Australian dental market through a national dental network.

The proposed acquisition will establish one of Australia’s largest private-sector dental networks under Q & M ownership, bringing together 40 dental clinics and approximately 120 dentists operating across New South Wales, Victoria, Queensland, Tasmania and the Australian Capital Territory.

The transaction supports Q & M’s entry into the Australian market through an established dental network, with Experteeth’s founders and key dentists remaining involved in the business. The acquisition also represents one of the largest cross-border investments in Australia’s dental sector by a Singapore-listed healthcare company and forms an important part of Q & M’s long-term strategy to expand its presence across the Asia-Pacific region.

Holding Redlich acted as Australian legal counsel to Q & M throughout the transaction, working alongside Singapore legal counsel Icon Law LLC. Holding Redlich advised on all Australian law aspects of the acquisition, including legal due diligence, transaction structuring, advising on the transaction documents, property, workplace and employment matters, foreign investment considerations and Australia’s new merger control regime.

The acquisition involved a complex corporate target group structure comprising more than 50 Australian companies operating under several dental clinic brands across five Australian jurisdictions. Holding Redlich brought together lawyers from its Corporate & Commercial, Property & Development, Workplace Relations & Safety, and Foreign Investment and Regulatory teams to advise on the transaction from due diligence through to signing.

Holding Redlich Corporate Partner and National Chair of Corporate Darren Pereira said this transaction represented an important milestone for Q & M as it seeks to enter the Australian market through an established national dental platform.

“If completed, the proposed acquisition would give Q & M an established national presence in Australia through a network of 40 dental clinics across five Australian jurisdictions,” Darren said.

“Delivering the transaction required coordinated advice across corporate, property, workplace, foreign investment and regulatory matters, together with careful management of assets and operations spanning multiple jurisdictions.”

Founded in 2017 by Jeffrey Gao and Hong Chang, Experteeth Dental Group has grown from three clinics into one of Australia's largest privately owned dental networks. The group operates across metropolitan and regional communities, providing general dentistry, orthodontics, cosmetic dentistry and implantology services through a network of clinics with a strong focus on clinician-led care and operational excellence.

Q & M Dental Group is the largest private dental healthcare group in Singapore and was the first dental group to be listed on the Singapore Exchange. With more than 100 dental clinics across Singapore and an expanding presence across the Asia-Pacific region, the company continues to invest in strategic acquisitions that strengthen its regional healthcare platform and broaden access to dental services.
