National law firm Holding Redlich has advised Netherlands-based specialist marine and modular floating infrastructure provider Combifloat on its acquisition of Australian Barge Hire. The deal marks Combifloat’s first entry into the Asia-Pacific market.
The transaction involved cross-border M&A, and the integration of an established Australian marine equipment hire business into an international group with global operations across offshore construction, renewables and subsea logistics.
Lead Partner William Kontaxis said the transaction was both enjoyable and challenging due to its cross-border nature, requiring coordination across multiple jurisdictions to support Combifloat’s international expansion strategy.
“Our work included extensive legal due diligence on the target and documenting share sale, shareholding, finance and management buy-in arrangements, as well as advice across a range of areas including tax structuring and employment arrangements,” William said.
“This acquisition also reflects continued inbound investment interest in specialist Australian industrial and marine services businesses,” William adds.
The transaction involved a multi-disciplinary team including partners Nathan Cecil (Transport, Shipping & Logistics), Dhanushka Jayawardena (Tax), and Michael Selinger (Workplace Relations & Safety), and Special Counsel Amy Pun (M&A).
