Jade advises clients on a range of transactions including:

  • commercial and agricultural property acquisitions and disposals for renewable energy projects (wind, solar and battery)
  • service and security agreements for the operation of carbon sequestration offsets projects
  • project finance and security
  • transaction structuring and reorganisation
  • fund and company establishment
  • preparing and verifying offer documents
  • general corporate matters such as advising on directors’ duties, reviewing and amending constituent documents, reviewing and advising on ongoing financial covenant compliance.

Experience

Jade’s experience includes:

  • acting for major project developers and landowners in connection with the acquisition, lease or licencing of land for solar, wind and battery facility projects (including land and counterparty due diligence)
  • acting for renewable energy developers in the drafting and negotiating of put and call option agreements, agreements to lease, leases, rental deeds, options to easement, access licences, laydown and washdown licences, disturbance deeds, environmental offset agreements, tripartite agreements with the landowner mortgagees, grazing leases,  compensation deeds, and novation deeds.
  • acting for a carbon service provider in relation to the review and negotiation of service agreements, security deeds and landowner consent deed
  • acting for a listed REIT in relation to a series of property and businesses acquisitions across Queensland, New South Wales, Victoria, South Australia and Western Australia
  • preparing, reviewing and negotiating a range of loan and security documents with major Australian and international banks, private lenders and syndicates, and sustainable financiers such as the Clean Energy Finance Corporation
  • acting for Indigenous service providers in the negotiation of service agreements with major Australian banks.
