Rebecca has extensive experience advising on complex cross-border and domestic, gained at leading commercial law firms in Brisbane and London. She is recognised for her strong work ethic, commercial awareness and deal management skills and ability to manage high-value matters under pressure.

Her practice spans mergers and acquisitions, capital raisings, corporate governance, and regulatory compliance, with particular expertise in advising on cross-border transactions and foreign investment matters. She regularly advises listed and private companies on the Corporations Act and ASX Listing Rules, and is experienced in drafting, reviewing, and negotiating a wide range of corporate and commercial agreements.

Rebecca is also fluent in Mandarin, allowing her to work effectively with clients across diverse cultural and commercial contexts. She is passionate about delivering clear, practical advice and fostering trusted client relationships.

M&A - Cross border transactions

  • advised on the USD $20 million sale of an Australian software company to a U.S. buyer
  • advised an ASX-listed SaaS provider on the divestment of multiple subsidiaries to a U.S. purchaser
  • acted for an ASX-listed target in an off-market scrip-for-scrip takeover
  • acted for the largest shareholder and its related entities in a Takeovers Panel application, successfully defending the client’s position
  • acted for an early learning centre operator in the strategic acquisition of multiple centres
  • acted for an ASX-listed energy company on the acquisition of a company and related tenement transactions
  • advised a Fortune 500 company on the asset acquisition of two Queensland businesses specialising in dental and medical device distribution and servicing
  • advised a unit trust on the USD $12 million sale of units under a unit trust structure
  • advised an international steel company on the divestment of its Australian assets, including joint venture interests and tenements
  • planned a multi-jurisdictional corporate restructure for a private company with subsidiaries in Australia, Singapore, Europe and the Philippines, to facilitate future institutional capital raising.

Capital raisings

  • acted for an ASX-listed company on AUD$100 million placement and AUD$25.5 million rights issue
  • managed a CAD $50 million capital raising for an ASX 200 company by the issuance of flow-through shares
  • acted for an ASX-listed gold company on multiple capital raisings, including an AUD$20 million placement and share purchase plan.

  • advised and drafted a broad range of corporate governance documents for listed and private entities
