Carl’s practice focuses on corporate and commercial matters. Carl is a trusted advisor in managing contract risk, executing mergers and acquisitions, and implementing joint ventures (both incorporated and unincorporated) and complex alliance arrangements. He has strong skills in transaction structuring, corporate governance, project management and coordination. Carl has a particular a focus on the automotive, agricultural, financial services, manufacturing and resources sectors. He is a co-editor of Oxford University Press’ Financial Services Regulation in Asia Pacific, is fluent in Mandarin and is a recognized expert in Chinese business culture.

Carl has particularly strong experience in complex cross-border, multi-country M&A transactions and his practice has included resolving investment disputes through litigation and arbitration. In regard to corporate and commercial matters, Carl has advised on:

  • directors’ duties and liabilities; internal company processes, policies and procedures; board and committee composition; internal and external audit processes; continuous disclosure and periodic reporting obligations
  • share and asset/business acquisitions and disposals and corporate restructurings
  • legal and contractual rights to terminate joint venture contracts and licensing agreements
  • agency, distribution and reseller and sub-contracting agreements
  • solar power project, power purchase agreements and solar leasing agreements
  • sale, call option, shareholder, farm-in agreements in respect of mining tenements
  • joint survey, joint venture and production sharing agreements in respect of oil and gas resources
  • software licensing and acquisition agreements
  • how both majority shareholders and minority shareholders can best handle shareholder disputes
  • anti-bribery and corruption due diligence and crisis management
