Jessica Tanna


Jessica advises on a range of corporate, transactional and commercial matters, including: 

  • M&A transactions 
  • corporate governance 
  • capital raisings (including IPOs)
  • corporate restructures 
  • intellectual property matters 
  • commercial contracting 

Jessica advises clients from a diverse range of sectors, and has extensive experience advising clients in technology, mining and mineral exploration, property and professional services sectors. 

Jessica also has a background of in-house experience, which feeds into her strong understanding of business realities and the commercial drivers behind decision making.


Jessica’s recent experience includes:

M&A transactions

  • acting on various share sale and purchase transactions
  • acting on asset sale and purchase transactions, including transactions for companies in administration or liquidation.

Corporate governance

  • drafting and amending corporate governance documents
  • advising private and public companies on various corporate governance matters including compliance with the Corporations Act and constitutional documents
  • advising publicly listed entities on compliance with ASX Listing Rules and ASX Corporate Governance Recommendations, and attending to company secretarial duties.


  • advising on all aspects of IPO, from pre-IPO capital raising, prospectus drafting, undertaking and coordinating due diligence, engaging and coordinating with independent experts and external advisers, preparing and lodging listing application with ASX. 

Corporate restructures

  • acting on various corporate restructures, including restructures that involve the granting of financial assistance, share buy-backs or capital reductions.

Intellectual property

  • acting on the assignment and licensing of intellectual property
  • advising on trade mark registrations with IP Australia
  • advising matters relating to the infringement of intellectual property rights. 

Commercial contracting

  • preparing and negotiating a wide range of often bespoke commercial agreements, including Service, Supply, Distribution Agreements, and terms of trade, for clients conducting business domestically and globally.
