Cassie is a Senior Associate in the Corporate and Commercial group in Melbourne with broad experience in corporate transactions and providing commercial and strategic advice. 

Cassie’s expertise includes corporate structuring arrangements, M&A transactions, capital raising, competition and consumer law matters, franchising and intellectual property protection. 

With her comprehensive corporate and commercial law background, Cassie has advised across a range of industries including professional services, financial institutions, manufacturing, fashion and health and fitness. Cassie’s clients vary from national corporations to SMEs and start-ups.


Cassie’s experience includes:

  • corporate transactional work:
    • acting for both vendor and purchaser sides on share and business sales
    • advising on scrip for scrip rollovers, business mergers, reorganisation of share capital and other corporate restructures
    • capital raising and debt funding arrangement
    • drafting and negotiating core documentation (including complex sale agreements, share subscription agreements and terms sheets).
  • commercial agreements including drafting and negotiation of:
    • shareholders’ and unitholders’ agreements
    • manufacturing and supply arrangements
    • privacy policies and online user terms
    • confidentiality deeds and NDAs.
  • providing competition and consumer law advice, including liaising with the ACCC and other regulators
  • acting for both publicly-listed and private franchisors on all aspects of their franchise networks, preparing documentation, advising on corporate structures and roll out of systems and providing IP and competition and consumer law advice
  • advising on various intellectual property matters including copyright ownership and infringement, trade mark registration and protection, brand exploitation and drafting various related documentation including licence agreements, IP assignments and software development agreements.
