Expertise

Andrew is an investment funds and financial services lawyer in the Corporate and Commercial team. He advises investment managers, fund sponsors and financial service providers on all aspects of their business.

Andrew draws on deep expertise and experience in the regulation of financial services, having held senior roles at ASIC.

Andrew provides advice on the establishment and operation of investment funds across all asset classes, including public and private equity, public and private debt and real estate and infrastructure.  

His practice encompasses both registered and unregistered schemes, fund and fund-like structures, funds of one, exchange traded funds (ETFs) and separately managed accounts.

In addition, Andrew advises on Australian Financial Services Licence (AFSL) matters, product disclosure statements, distribution and remuneration arrangements (including FOFA) and all aspects of the design and distribution obligation (DDO) regime.

Experience

Andrew’s experience includes:

  • leading ASIC’s industry-wide review of compliance with the design and distribution obligations by issuers of investment products
  • acting as a senior adviser on ASIC’s industry- wide surveillance into the marketing of fund performance and risk
  • advising on the development of ASIC’s policy and guidance on the regulation of digital assets, including ETFs with investment exposure to digital assets
  • advising on the development of regulatory policy and guidance at ASIC to support the Corporate Collective Investment Vehicles regime and the implementation of the Financial Services Royal Commission reforms on financial advice
  • leading multiple ASIC surveillances into fund managers, financial advice licensees and sponsors to assess and enforce compliance with AFSL, responsible entity conduct obligations and disclosure obligations
  • advising Colonial First State on a business- wide review and uplift of their target market determinations and DDO governance arrangements 
  • advising Credit Suisse on a wholesale review and uplift of their global custodial arrangements 
  • advising multiple investment managers on the establishment and operation of investment funds across multiple asset classes, including private debt, equities and digital assets.
