Sean has more than 16 years of experience as a lawyer in the superannuation industry. His expertise includes funds management, corporate and commercial, and superannuation. 

Sean advises superannuation trustees across a wide range of areas, including:

  • reviewing and negotiating investment documentation, especially regarding unlisted private equity, venture capital and alternatives
  • analysis and due diligence relating to investment structures (domestic and foreign)
  • custody, securities lending and administration agreements
  • successor fund transfers
  • custody transitions
  • bid and consortium documentation
  • investment management agreements
  • regulatory compliance (including under SIS, Corporations Act and APRA Prudential Standards)
  • AFSL and RSE licensing requirements
  • outsourcing and business continuity requirements
  • drafting and negotiating commercial agreements and related documents 
  • investor rights, including shareholders’ and unitholders’ agreements
  • derivatives and ISDA documentation, including APRA margining and risk mitigation standards and ASIC transaction reporting requirements
  • corporate law and governance
  • trust law and trustees’ duties
  • directors’ duties (including trustee directors’ duties)
  • dispute resolution and litigation
  • death and disability claims and disputes
  • confidentiality, security and privacy of information.


Sean's experience includes:

  • acted as lead lawyer for superannuation fund seed investors in the Brandon Capital Medical Research Commercialisation Fund 3, then (2015) Australia’s largest venture capital fund
  • acted as lead lawyer for superannuation fund investors in the acquisition of interests in several United States shopping centres
  • acted as lead lawyer in the transition of $1 billion worth of private equity assets to a new trustee of a special purpose vehicle
  • acted in a number of successor fund transfers, including drafting and negotiating transfer deeds between trustees and implementing the transfer of underlying assets
  • renegotiating a number of custody agreement for various superannuation funds, including on changes of custodian.
