Ravi is a special counsel in the Corporate & Commercial Group with a particular focus on funds management, superannuation and financial services.

Ravi has substantial experience advising large public offer funds, non-public offer funds and public sector funds in relation to their investment activities, governance arrangements, material contracts, products and regulatory environment. His experience also includes secondments to several leading industry superannuation funds and the Australian Institute of Superannuation Trustees. 


Ravi advises on a wide variety of commercial, funds management and superannuation related matters, including:

  • investments in private equity and infrastructure funds (including managed investment schemes, venture capital limited partnerships and foreign limited partnerships/LLCs)
  • private equity co-investments and secondary transactions
  • material outsourcing and other commercial/investment agreements (including administration agreements, custody agreements, investment management agreements, securities lending agreements, derivatives/ISDA documentation, service agreements) 
  • consortium and bid documents
  • custody arrangements (including transitions)
  • outsourcing and insourcing of investment management functions, including transitions 
  • fund establishment and operations (including managed investment schemes, VCLPs, ESVCLPs)
  • acquisitions and divestments 
  • investor rights, including shareholder and unitholder agreements
  • interpretation of trust deeds, reviews and amendments
  • liaison with regulators
  • ensuring regulatory/licensing compliance and governance issues (including under the SIS Act, AFS and RSE licensing regimes)
  • development of effective and compliant communications and marketing materials
  • management and resolution of claims and disputes, including in relation to death and disability benefits
  • implementation of successor fund transfers, acting variously for transferor and transferee funds 
  • defined benefit arrangements
  • pooled superannuation trusts.

Ravi has acted for clients including First State Super, Cbus, HESTA, HOSTPLUS, QSuper, LUCRF, ESSSuper, AustralianSuper, Retirement Benefits Fund, Government Employees Superannuation Board (GESB), Christian Super, MTAA, Care Super, Industry Fund Services, Cbus Property, Australian Institute of Superannuation Trustees.

Ravi's experience includes:

  • acting as lead lawyer for First State Super and Hostplus as seed investors in the then largest ever technology start-up venture capital fund, managed by Blackbird Ventures
  • advising five industry superannuation funds with respect to the restructure of their interests in the IFM Infrastructure Funds and IFM Australian Infrastructure Wholesale Funds
  • acting for superannuation fund investors in venture capital funds managed by Archer Capital, AirTree, SquarePeg, Odyssey, Artesian, Brandon Capital and Carnegie
  • acting on successor fund transfers for both transferee funds (AustralianSuper – Westscheme, AGEST, City of Perth; Christian Super – Australian Christian Super), and transferor funds (IRIS – HESTA) 
  • major overhaul/rewrite of a leading industry fund’s trust deed
  • acting in multiple custody transitions, including the transfer of approximately $1 billion in alternatives, equity and debt assets from NAB to JP Morgan
  • advising a boutique fund manager on IPO/new listed investment company
  • assisting a super trustee to secure APRA determinations with respect to in-house assets
  • advising a super trustee on structuring of financial services and funds management business
  • advising a boutique fund manager in relation to business structuring, AFS licensing obligations including compliance with FOFA (conflicted remuneration)
  • acting as lead lawyer for the vendor of a major office space leased to the NSW Government, including unwinding of complex security trust and debt arrangements in order to facilitate the sale.
