Ron Eames specialises in front end project work and project financing, primarily in the energy and resources and tourism sectors.
Ron advises some of Australia’s leading property developers on projects both within and outside of Australia, including a number of iconic developments.
Ron’s financing expertise includes construction financing (including novel structures such as pre-sales securitisation) and infrastructure financing.
Ron has lectured in property and infrastructure financing at the Macquarie University Applied Finance Centre and has been a Visiting Fellow of that University.
Ron’s experience includes:
- acting for both lenders and joint venturers on the financing of an operating coal and gold mine including advice on the joint venture agreement, drafting amendments to the joint venture agreement, security over mining tenements and drafting the multioption facility agreement (recent experience includes acting for Jindal Steel in connection with the disposal by Stanwell Corporation and Anglo Coal of coal tenements)
- acting for the Inco (now Vale) in relation to the development of a nickel mine (Goro Nickel project) and associated infrastructure in New Caledonia, including drafting standard project documentation for goods and services, financing, acquisition and transportation of major items of equipment, drafting broadband agreement to cater for communications between the Project Site in New Caledonia and the Project Office in Brisbane and drafting and advising in relation to a Good Neighbour Agreement between the project sponsor and the local residents
- acting for major Queensland electricity generators in connection with the construction, commissioning and operation of several biomass power stations and wind farms including undertaking a major legal due diligence report, negotiating and drafting the commercial agreements, tenure documents, technical support and operation and maintenance agreements with the hosts
- acting for a major projects’ sponsor in connection securitisation and rated notes issue to raise project finance for major projects in Queensland and Victoria involving the structuring of a bankruptcy remote vehicle to issue rated notes into the private equities market and negotiating all financing documents.
