Harry is a senior corporate and commercial lawyer specialising in strategic advice and negotiated transactions. He has extensive legal industry experience working in private practice and organisations in the transport and financial services industries as well as working as an investment banking professional. He is a trusted advisor to private and ASX listed corporations, their directors and management throughout Australasia.
Harry is highly regarded for his general commercial expertise as well as specialist knowledge around private equity, private and public M&A, IPOs and equity and debt capital markets.
Harry has a diverse background and is uniquely placed to understand clients’ needs having been a member of the leadership team and chief legal counsel for Pacific National, Australia’s largest rail operator of both bulks (minerals/food & fibre) and intermodal freight in Australia.
He has also served as the Senior Strategy and M&A counsel for Asciano Limited working on large transformative M&A projects, mainly for Patrick in its Ports and Logistics divisions.
Prior to Asciano, Harry was a Director for a boutique investment bank and was co-head of its resources team working on IPOs, secondary market raisings and M&A transactions for small and mid-cap ASX listed companies.
Being highly numerate, Harry has developed a reputation as an effective negotiator who is commercially driven and outcomes focussed.
Harry’s experience includes:
- complex domestic and cross border M&A, strategic sales processes, takeovers and takeover defence in the energy and resources, transport and logistics, food and fibre, infrastructure and the general and technology services sector
- equity capital markets including IPOs, rights issues, private placements, SPPs, hybrids and convertibles in both underwritten and nonunderwritten environments acting for issuers, lead managers and underwriters
- general commercial work including negotiating complex take or pay and variable transport agreements with and for freight forwarders, minerals and mining companies, suppliers of construction products, grain producers and other agribusiness, access providers and steel producers
- large scale and long term government and non-government procurement contracts,
- services and supply arrangements for fuel and lubricants, fleet maintenance and CCOs, infrastructure management services, capital assets, construction services and rollingstock
- major projects involving multiple work streams including infrastructure projects, complex tenders and joint ventures
